Terms of service
These terms are an agreement between you and the provider of Paletoo (the design editor at paletoo.com, “the service”). By creating an account, buying a plan or using the service you accept them. If you do not agree, please do not use the service.
1. Who we are
The service is provided by Individual Entrepreneur Andrii Ruslanovych Mamontov, a sole proprietor registered in Ukraine (“we”, “us”). Address for legal notices: 90 Kniazia Volodymyra Velykoho Ave, apt. 23, Odesa, Odesa Oblast, Ukraine, 65069. E-mail: [email protected].
These terms are concluded in electronic form, which has the same legal force as a written agreement under the Law of Ukraine “On Electronic Commerce”. How we handle personal data is explained in the Privacy policy, which forms part of these terms.
2. The service
Paletoo is a browser-based editor for typography, layouts and images. You can use it without an account, with documents kept on your device; some features (cloud storage, sharing, comments, teams, image generation) need an account, and some may need a paid plan or AI credits. We keep improving the service and may change, add or remove features. If a change takes away a main feature of a plan you have paid for, we will tell you in advance and you may cancel and get a refund of the unused part of the period.
3. Your account
You must be at least 13 years old to use the service. If you are under 16 (or under the age of digital consent where you live, if different), you may create an account only with the consent of a parent or guardian, who accepts these terms on your behalf. You must give accurate information and keep your sign-in secure. You are responsible for what happens under your account; tell us at [email protected] if you think it has been misused.
4. Acceptable use
Do not use the service to:
- break the law, or infringe other people’s rights (copyright, trademark, privacy);
- upload or share content that is illegal, sexually exploits children, incites violence or hatred, or is harassing, deceptive or malicious;
- attack, overload, probe or reverse-engineer the service, bypass its limits, credits or access codes, or use it to build a competing service by automated means;
- send spam or use share links, comments or invitations to harass others;
- upload malware, or content you have no right to share.
We may remove content or limit or suspend accounts that break these rules. Where we can, we will tell you why and give you a chance to respond.
5. Your content
You keep ownership of the documents, text, pictures and fonts you create or upload (“your content”). You promise you have the rights to use it and to put it into the service.
You give us a limited, worldwide, non-exclusive, royalty-free licence to host, store, copy, back up, display and process your content only to run the service for you and the people you choose to share it with (for example to save versions, make thumbnails, show shared documents and send them to the AI providers you ask for). This licence ends when you delete the content, except for copies in backups for a short time and copies others have received through sharing.
Pictures from Unsplash, Pexels and museum collections, and fonts from Google Fonts, remain under their own licences; you are responsible for checking that your use fits them. Templates, elements and materials we provide may be used in your designs, including commercial ones; do not resell or redistribute them as stand-alone files.
6. Sharing
If you share a document or make a link, people with access can see it and, depending on the role you set, edit, comment or copy it. You are responsible for who you share with. Anything you put in comments or teams is visible to the people who have access.
7. AI features and AI output
Some features send your request, and a summary of your artboard or an image, to third-party AI providers (see the Privacy policy). AI output can be wrong, surprising or similar to other outputs, and may not be protected by copyright. As between you and us, you own the output you create, to the extent the law allows. You are responsible for checking it and for how you use it, and you must not use AI features to create content that breaks these terms. We may limit AI use per day.
8. Paid plans and subscriptions
Most of the service is free. Some features or larger limits may be offered as paid plans; until they go on sale, no payment is taken. When you buy a plan, the following applies.
- Price and what you get. The checkout page shows the plan, its price, the billing period, the credits and limits included, and any taxes, before you pay.
- Payment provider. Payments are handled by a third-party payment provider named on the checkout page. If it acts as the seller of record, its own terms of sale also apply to the purchase, and it issues the receipt and handles sales tax.
- Monthly or yearly subscription and automatic renewal. Plans are billed in advance, monthly or yearly as you choose at checkout. Your subscription renews automatically at the end of each period, and the price of the next period is charged to your payment method, until you cancel.
- Free trial. A new trial of Pro, where offered, lasts the number of days stated when you start it, needs no payment method and ends by itself; each account can have one trial. When it ends your account returns to the free plan, and nothing you made is removed.
- Education price. Students and teachers may buy Pro at a reduced price with an education code we give them. We may ask you to confirm your status, and an education code may not be shared or sold.
- Free plan limits. The free plan includes the limits shown on the pricing page (for example, the number of documents kept in the cloud). A limit only stops something new; it never removes or locks what you already made: documents above a limit stay, open, save and export.
- Cancelling. You can cancel at any time in your account (Plan and billing → Cancel plan, then confirm) or by writing to us. Cancelling stops the next renewal: your plan stays active until the end of the period already paid for, and then your account returns to the free plan. Your documents stay yours; if they exceed the free limits, you can still open, edit, save and export them, but adding new ones beyond a limit needs a paid plan or a file on your disk.
- Taxes. Prices include VAT or similar taxes where we or the payment provider must charge them; otherwise taxes are shown separately at checkout.
- Price changes. We may change prices for future periods. We will tell you by email at least 30 days before a new price applies to your subscription; if you do not want to pay it, you can cancel before the next renewal. A price change never affects a period you have already paid for.
- Failed payments. If a renewal payment fails, the payment provider may try again for a short time; if it still fails, your plan may be paused or returned to the free plan.
9. AI credits
Some AI features, such as image generation and materials, use AI credits. The number of credits an action costs is shown before you start it.
- Credits are a prepaid unit for using these features in the service. They are not money, have no cash value, cannot be exchanged for money, and cannot be transferred, sold or shared with another account.
- Credits included in a subscription are added at the start of each billing period and expire at its end; unused ones do not carry over. On a yearly plan they are added month by month: each month’s credits expire at the end of that month.
- Credits bought separately (credit packs) last until the end of the billing period after the one in which you buy them, and never less than 30 days. If you have no paid plan, they last 30 days from purchase. The bonus credits of a one-off plan (such as Founders) last the same way, counting the plan’s months from the day you buy it.
- Your account shows how many credits you have and the date each of them expires.
- Free credits (for example welcome or promotional credits) are a gift: they may be limited and expire as stated when they are given, and we may change or end such offers for the future.
- Credits that expire soonest are used first. If an action fails because of a technical problem on our side, its credits are returned, with the dates they had.
- Unused credits are not refunded, except under the refund rules below, where the law requires it, or if we stop offering the service (then we refund unexpired purchased credits in proportion).
- Credits obtained by fraud, by abusing a bug or in breach of these terms may be removed.
10. Refunds and your right of withdrawal
- 14-day refund on your first purchase. If you are not satisfied with your first paid plan or first credit purchase, write to us within 14 days of the payment and we will refund it in full, no questions asked. This applies once per person.
- Renewals are not refunded, and there are no partial refunds for the unused part of a month after you cancel, except where these terms or the law say otherwise.
- Statutory rights. If you are a consumer in the EU, the UK or another country with a legal right of withdrawal from online purchases, this refund policy gives you at least as much as that right for your first purchase and does not limit any other right you have by law, including your rights if the service is faulty or not as described.
- How refunds are paid. Refunds go back to the original payment method, normally within 14 days of our agreement, through the payment provider. Credits from a refunded purchase are removed.
11. Our property
The service, its software, design, name and the materials we provide belong to us or our licensors and are protected by law. These terms give you a personal, non-exclusive, non-transferable right to use the service, not to copy or resell it. Open-source components stay under their own licences.
12. Third-party services
The service connects to services of other companies (sign-in, AI providers, photo and art libraries, fonts, payments). Their availability and their content are outside our control, and their own terms apply to what they provide. We may replace or stop using a third-party service.
13. Availability and “as is”
We work to keep the service available and to fix faults promptly, but it is provided “as is” and “as available”, without promises that it will be uninterrupted, error-free or fit for a particular purpose, to the extent the law allows. It may be unavailable for maintenance or for reasons outside our control. Keep your own copies of important work: export it or save it to a file.
14. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or business, or lost data or content, and our total liability for all claims relating to the service is limited to the amount you paid us in the 12 months before the event giving rise to the claim, or EUR 50 if you paid nothing.
These limits do not apply to liability for death or personal injury caused by our negligence, for fraud, intentional misconduct or gross negligence, or to any other liability that cannot be limited or excluded by law. Nothing in these terms affects your statutory rights as a consumer, including your rights if the digital service does not conform to what was agreed.
15. Suspension and termination
You can stop using the service at any time and delete your account, yourself in the account menu (“Account settings” → “Delete account”) or by asking us (write to [email protected]); cancel any paid plan first or at the same time. We may suspend or end your access if you seriously or repeatedly break these terms, if the law requires it, or if we stop offering the service. Where we can, we will give you notice and a chance to export your content; if we end the service without your fault, we refund the unused part of any prepaid period and unexpired purchased credits. Sections that by their nature should continue (content licence for shared copies, ownership, liability, governing law) survive termination.
16. Changes to these terms
We may update these terms, for example when we add features or paid plans or when the law changes. The date at the top shows the latest version. We will tell you about material changes in the product or by email at least 30 days before they apply to you. If you do not agree, you can stop using the service and cancel your plan before the change applies; continuing to use the service after it means you accept it.
17. Governing law and disputes
These terms are governed by the law of Ukraine. Disputes are decided by the courts of Ukraine at the place of the provider’s registration (Odesa).
If you are a consumer living in another country (for example in the EU or the UK), this choice of law does not deprive you of the protection of the mandatory rules of the country where you live, and you may also bring a claim in the courts of that country where its law allows.
Before going to court, please write to us at [email protected]: most problems can be solved quickly, and we will try to do so within 30 days.
18. General
These terms and the Privacy policy are the whole agreement between you and us about the service. If a provision is found invalid, the rest stays in force. If we do not enforce a right at once, we do not give it up. You may not transfer your rights under these terms without our consent; we may transfer ours to a successor that continues the service, which does not reduce your rights. These terms are published in Ukrainian and English; both versions have equal force, and if they differ, the Ukrainian version prevails, unless the law of your country requires otherwise.
